Archaeological Survey of India (ASI) and Indian Association of Tour Operators (IATO) sign memorandum of understanding for maintenance of public amenities at ASI protected monuments
Archaeological Survey of India (ASI) and Indian Association of Tour Operators (IATO) signed a Memorandum of Understanding (MoU) for maintenance of public amenities at ASI protected monuments. Tourism Minister Kumari Selja, Minister of State for Tourism Sultan Ahmed, Secretary Tourism Sujit Banerjee, Secretary Culture Jawhar Sircar and DG, ASI K.N. Shrivastava were also present at the signing ceremony.
Text of MoU
This agreement made on 15th day of the month of December in the year 2009 between the Archaeological Survey of India, (hereinafter referred to as ASI) referred to as the First Party, and Indian Association of Tour Operators (hereinafter referred as IATO) having its registered office at 310, Padma Tower-II, 22, Rajendra Place, New Delhi-110008 referred to as the Second Party (which expressions shall unless enclosed or repugnant to the context a meaning thereof be deemed to include its administrators, management, successors and in interest of permitted assigns) of the second part.
And whereas, IATO has desired and agreed to refurbish, operate and maintain toilet block(s) existing at the centrally protected monuments at Delhi and Agra (as per the list annexed).
And whereas, ASI (First Party) having favorably considered the request of IATO has acceded to the proposal for refurbishing, operation and maintenance of toilet block(s). And, now therefore, these presents witness in this agreement on terms and conditions, stipulations and reservations hereinafter contained:
1. IATO has agreed to take over the said toilet block(s) for refurbishing as per prior approval by the Director General, Archaeological Survey of India, operation and day-to-day maintenance.
2. ASI shall undertake all infrastructure work at its own cost at the said toilet block(s) to enable it user friendly and accessible to the physically disabled.
3. IATO has agreed to attend to refurbishment, operation and day-to-day maintenance through service provider(s) who would undertake the task on behalf of IATO for day to day up-keep after having been appointed by IATO.
4. IATO will bear the cost of inside refurbishments of the said toilet block(s) as well as supply of the consumables and shall be wholly responsible for its operation, maintenance and upkeep for a period of 5 years with effect from the date of signing of this agreement. The expenditure incurred thereon shall be borne entirely by IATO. The initial period of 5 years maintenance can be considered for renewal on yearly basis depending upon the quality of maintenance.
5. IATO will refurbish and get it maintained and operated by service provider(s) of the said block on day-to-day basis on mutually agreed terms and conditions without any financial or manpower liability on ASI.
6. IATO shall be allowed by ASI to choose their service provider(s) for day-to-day maintenance and operation of the said toilet(s) and further allows IATO to change the service provider(s), in case of un-satisfactory services.
7. IATO shall keep ASI well informed about the appointment of the service provider(s) with details in respect of each protected monument and also the particulars of the workmen engaged.
8. All the works shall be executed under the close technical supervision of the concerned Circle Superintending Archaeologist of ASI and as per the design and plan approved by the Director General, ASI.
9. ASI shall permit IATO to put up plaque/signboard indicating their participation in the maintenance of the said toilet block(s). The subject matter, size, design, etc. of the sign board / plaque to be put-up by IATO shall be approved by ASI.
10. IATO will ensure that the toilet block(s) are cleaned daily at regular intervals and maintained in a neat, clean and presentable manner. That the service provider(s) so appointed by IATO shall collect user charge from the users as approved by Director General, ASI. Electricity and water will be provided by ASI free of charge for the operation and maintenance of the toilet block(s).
11. That if the First party finds that the toilet(s) is not being maintained properly and that the standard of cleanliness is not upto the mark or the terms and conditions of this agreement are being violated, it may withdraw its maintenance from IATO. However, before terminating the agreement, ASI will give opportunity to IATO to show cause.
12. All the ownership rights of all the toilet block(s) shall always be and remain vested with the Government of India/ ASI.
13. No signs/advertisements shall be displayed or put up by and/or on behalf of IATO without the prior consent of ASI.
14. The officials/Staff of ASI shall have the right to inspect and use the toilet block(s) free of charge at any time during the hours the monument/toilet block(s) remains open.
15. ASI shall ensure that permissions are given to allow designated and assigned members of IATO to do on the spot inspections of the site to ensure compliance of the assigned task by their service provider(s).
16. Maintenance of electrical and other fittings/fixtures for toilet(s), mirrors, wash basins, taps, toiletry, etc. shall be the responsibility of IATO at its own cost. IATO will be responsible for the security and safety of all fitments and fixtures within the toilet block(s) during operating hours whereas ASI shall ensure to provide and assist IATO for all around security.
17. The opening and closing times of the toilet blocks(s) shall be the same as that of the monument(s) as prescribed by ASI.
18. IATO shall have no right to sub-let the said toilet block(s) or transfer or assign the maintenance of toilet block(s) to any other agency under any circumstances.
19. IATO shall not use any part of the said toilet block(s) for any purpose other than that for which it is being handed over.
20. In case of any dispute/difference etc. arising out of this agreement or any of its terms and conditions between the parties, the same shall be referred to the Secretary, Government of India, Ministry of Culture, whose decision shall be final and binding on both the parties.
21. Any other conditions or instructions in consonance with the terms and conditions of this agreement laid down by the Director General, ASI in the interest of better maintenance shall be accepted and strictly adhered to by IATO.
22. Any amendment to this agreement may be made in writing and signed by the duly authorized signatories of the two parties.
23. This agreement comes into force from the date of its signing.
